We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We are not liable for any modification, suspension, or discontinuation of services.

3. Eligibility and User Accounts

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.

If you create an account with us, you are responsible for:

Maintaining the confidentiality of your account credentials

All activities that occur under your account

Providing accurate, current, and complete information

Promptly updating your account information when changes occur

Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. User Responsibilities and Prohibited Conduct

5. Quotes, Proposals, and Service Agreements

Quotes and proposals provided by TeraBand Technologies are valid for 30 days from the date of issue unless otherwise specified. Quotes are estimates and final costs may vary based on:

Site conditions and unforeseen complications

Changes in project scope or requirements

Material cost fluctuations

Additional services requested during project execution

Formal service agreements will be executed for major projects. These agreements will supersede any prior quotes or proposals and will detail the specific terms, deliverables, timelines, and payment terms for the project.

Any changes to the agreed scope of work must be approved in writing through a formal change order process.

6. Payment Terms and Pricing

Payment terms will be specified in individual service agreements or invoices. Standard payment terms include:

Deposit: A deposit may be required before work commences, typically 25-50% of project cost

Progress Payments: For large projects, payment milestones will be established

Final Payment: Due within 30 days of project completion unless otherwise agreed

Late Payments: Interest may be charged on overdue balances at a rate of 1.5% per month or the maximum allowed by law

We accept payment by check, wire transfer, ACH, and major credit cards. Credit card payments may be subject to processing fees.

All prices are in U.S. Dollars unless otherwise specified. Prices are subject to change without notice. Applicable taxes will be added to invoices as required by law.

In the event of non-payment, we reserve the right to suspend services, pursue collection actions, and recover all costs associated with collection, including reasonable attorney fees.

7. Intellectual Property Rights

All content, materials, and intellectual property provided by TeraBand Technologies, including but not limited to:

Website content, design, and functionality

Logos, trademarks, and service marks

Network designs and technical documentation

Proprietary software and tools

Training materials and documentation

Marketing and promotional materials

These remain the exclusive property of TeraBand Technologies or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose. You may not reproduce, distribute, modify, create derivative works, publicly display, or exploit any of our intellectual property without prior written consent.

Custom designs and solutions created specifically for clients may be subject to separate intellectual property agreements as outlined in individual service contracts.

8. Warranties and Service Guarantees

TeraBand Technologies warrants that:

Services will be performed in a professional and workmanlike manner

Work will comply with applicable industry standards and building codes

Materials used will be new and free from defects unless otherwise specified

Installed systems will perform as specified in the service agreement

Warranty periods for installations and materials vary by project and will be specified in individual service agreements. Typical warranty periods are:

Labor and Installation: 1 year from project completion

Equipment and Materials: Manufacturer's warranty (typically 1-5 years)

Structured Cabling: 15-25 year performance warranty on certified systems

Warranties are void if:

Damage results from misuse, abuse, or improper maintenance

Unauthorized modifications or repairs are made to the system

Equipment is used beyond its rated capacity or specifications

Natural disasters, accidents, or acts of God cause damage

9. Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement

Warranties regarding the accuracy, reliability, or completeness of information

Warranties that our services will be uninterrupted, secure, or error-free

Warranties regarding third-party products, services, or websites

We do not warrant that our services will meet your specific requirements or that any defects will be corrected. Your use of our services is at your sole risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERABAND TECHNOLOGIES SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages

Loss of profits, revenue, data, or business opportunities

Business interruption or loss of goodwill

Cost of substitute goods or services

Any damages arising from use or inability to use our services

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO TERABAND TECHNOLOGIES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless TeraBand Technologies, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use or misuse of our services

Your violation of these Terms

Your violation of any rights of third parties

Any content or information you provide to us

Your negligence or willful misconduct

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

12. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, with or without notice, for any reason including but not limited to:

Violation of these Terms

Fraudulent, abusive, or illegal activity

Non-payment of fees or charges

Extended periods of inactivity

Requests by law enforcement or government agencies

You may terminate your use of our services at any time by discontinuing access and providing written notice.

Upon termination, all provisions of these Terms that by their nature should survive will survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Termination does not relieve you of any obligations to pay for services already rendered or materials already purchased.

13. Confidentiality

During the course of our business relationship, either party may have access to confidential information of the other party. Both parties agree to:

Maintain the confidentiality of all proprietary and confidential information

Use confidential information only for the purposes of the business relationship

Not disclose confidential information to third parties without prior written consent

Protect confidential information with the same degree of care used to protect their own confidential information

Return or destroy confidential information upon request or termination of the relationship

This obligation does not apply to information that: (a) is publicly available through no fault of the receiving party; (b) was rightfully possessed prior to disclosure; (c) is independently developed; or (d) must be disclosed pursuant to law or court order.

14. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to:

Acts of God, natural disasters, or severe weather conditions

War, terrorism, civil unrest, or public emergency

Government actions, laws, or regulations

Labor disputes, strikes, or lockouts

Epidemics, pandemics, or quarantine restrictions

Failure of suppliers, manufacturers, or carriers

Power outages, telecommunications failures, or internet disruptions

The affected party will promptly notify the other party and make reasonable efforts to minimize the impact of the force majeure event.

15. Dispute Resolution and Arbitration

In the event of any dispute arising out of or relating to these Terms or our services, the parties agree to:

First attempt to resolve the dispute through good faith negotiations

If negotiation fails, participate in mediation before a mutually agreed-upon mediator

If mediation is unsuccessful, submit the dispute to binding arbitration

Arbitration will be conducted in accordance with the rules of the American Arbitration Association (AAA). The arbitration will be held in Tech City, TC, or another mutually agreed location.

The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

Each party will bear their own costs and fees unless the arbitrator awards costs to the prevailing party.

This arbitration provision does not prevent either party from seeking injunctive relief in court for the protection of intellectual property rights or confidential information.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of [State], United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms (except those subject to arbitration) shall be brought exclusively in the federal or state courts located in Tech City, TC.

You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to jurisdiction or venue.

17. Miscellaneous Provisions

Entire Agreement

These Terms, together with any service agreements, quotes, or other documents incorporated by reference, constitute the entire agreement between you and TeraBand Technologies regarding the use of our services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

Sending email notification to registered users
